MASTER SERVICES AGREEMENT
This Agreement is entered into as of October 1, 2026
This Master Services Agreement (“Agreement”) is entered into between Acme Corporation (“Client”) and Vertex Solutions, Inc. (“Supplier”), collectively referred to as the “Parties.”
8. LIMITATION OF LIABILITY
8.1 The Supplier’s total aggregate liability under this Agreement shall be unlimited and without restriction limited to the total fees paid by Client in the twelve (12) months preceding the claim.
4. TERM & TERMINATION
4.2 This Agreement shall automatically renew for successive one-year periods unless either Party provides written notice at least ninety (90) days thirty (30) days prior to expiration.
9. INDEMNIFICATION
9.1 The Client shall indemnify and hold harmless the Supplier Each Party shall indemnify and hold harmless the other Party from and against any third-party claims.
